ORION SPORTS CLUB MEMBERSHIP AGREEMENT & WAIVERS

This Membership Agreement (the "Agreement") is made between Orion Sports Club, LLC (the "Orion Sports Club"), a Washington limited liability company, and the undersigned member (the "Member") regarding the Member's use of Orion Sports Club facility, located at 12015 124th Ave NE, Kirkland, WA 98034 (the "Facility"). As consideration for being permitted to use the Facility and participate in services offered by Orion Sports Club, you agree to the following:

SAFE USE OF FACILITY AND EQUIPMENT
You agree to follow all Orion Sports Club policies, guidelines, rules, and instructions (verbal or written), and to use the Facility and equipment in a safe and respectful manner. You will not endanger yourself or other members. Rules are subject to change.

ASSUMPTION OF RISK - CONTACT COMBAT SPORTS
YOU UNDERSTAND THAT ACTIVITIES AT ORION SPORTS CLUB INCLUDE HIGH-RISK, FULL-CONTACT COMBAT SPORTS, WHICH INVOLVE STRIKING, GRAPPLING, PHYSICAL EXERTION, AND CLOSE PHYSICAL INTERACTION. YOU ACKNOWLEDGE THE INHERENT AND SIGNIFICANT RISKS ASSOCIATED WITH SUCH ACTIVITIES, INCLUDING BUT NOT LIMITED TO SERIOUS INJURY, PERMANENT DISABILITY, ILLNESS, OR DEATH.

You voluntarily assume all such risks, whether known or unknown, and regardless of cause, including risks arising from the negligence of Orion Sports Club, its staff, or participants.

PHYSICAL CONDITION
You represent that you are in good health and have no medical condition that prevents you from engaging in physical activity. You agree to consult with your physician prior to participation, and to obtain their approval before engaging in any exercise program.

ORION SPORTS CLUB DOES NOT PROVIDE MEDICAL TREATMENT
You understand that Orion Sports Club and its personnel are not qualified to diagnose or treat any medical condition. You agree to notify staff of any health concerns before or during participation and to seek medical advice as needed.

In case of emergency, YOU AUTHORIZE ORION SPORTS CLUB TO SECURE EMERGENCY MEDICAL CARE ON
YOUR BEHALF and waive any claims arising from such action.

RELEASE OF LIABILITY (READ CAREFULLY)
TO THE MAXIMUM EXTENT PERMITTED UNDER WASHINGTON LAW, YOU, YOUR HEIRS, AND REPRESENTATIVES HEREBY RELEASE AND HOLD HARMLESS ORION SPORTS CLUB, ITS TRAINERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AFFILIATES, AND PROPERTY OWNERS FROM ALL LIABILITY FOR INJURY, DEATH, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN ACTIVITIES OR USE OF THE FACILITY - EVEN IF CAUSED BY THEIR NEGLIGENCE.
This includes, without limitation, any claims based on the condition of the Facility or equipment. COVID-19 DISCLOSURE AND RELEASE
You understand that COVID-19 is contagious and potentially dangerous. You assume all risks associated with exposure
and agree not to enter the Facility if experiencing symptoms or recent exposure. You release Orion Sports Club from liability related to COVID-19.

CONSENT TO USE YOUR IMAGE

You agree that photos, video, or audio recordings may be taken and used for promotional purposes without compensation. You waive any rights to inspect or approve use.

RESPONSIBILITY FOR DAMAGE
You agree to pay for any damage caused by your negligent or intentional acts.

MINOR PARTICIPANT WAIVER AND ASSUMPTION OF RISK
If you are registering a minor or creating an account on behalf of a child, you, as the parent or legal guardian, acknowledge and agree to the following:
You understand that participation in combat sports, physical training, and related athletic activities involves inherent and significant risk of injury, illness (including but not limited to communicable diseases such as MRSA, influenza, or COVID-19), permanent disability, or death. While safety measures, rules, and instruction may help mitigate risks, they cannot eliminate them. You voluntarily assume full responsibility for all such risks to the minor participant, whether known or unknown, and regardless of whether arising from the negligence of Orion Sports Club or its affiliates.
You, on behalf of yourself, the minor participant, and your respective heirs, assigns, and representatives, hereby waive, release, and hold harmless Orion Sports Club, its officers, employees, contractors, affiliates, sponsors, volunteers, and property owners (collectively, the “Releasees”) from and against any and all claims, liabilities, injuries, damages, losses, or expenses arising out of the minor's participation in activities or use of the Facility, even if resulting from the negligence of the Releasees.
You further agree to indemnify and defend the Releasees against any such claims brought by or on behalf of the minor or any third party.

PARENTAL MEDIA CONSENT
You acknowledge and agree that Orion Sports Club may photograph, video record, or otherwise capture the likeness or voice of the minor participant during classes, events, or activities for marketing, advertising, and promotional purposes. By accepting this Agreement, you grant Orion Sports Club the right to use such media in any form, without compensation, and waive any right to inspect or approve the use of such materials.
By accepting this Agreement, you confirm that you are the minor’s lawful parent or guardian, have explained the risks and responsibilities involved, and that the child understands and agrees to comply with all applicable rules and safety guidelines. This clause applies to all minors registered under your account.

SEVERABILITY / GOVERNING LAW
If any part of this Agreement is found unenforceable, the rest shall remain valid. This Agreement is governed by the laws of Washington State.

SUCCESSORS
This Agreement binds your heirs, executors, and assigns.

ACKNOWLEDGMENT
YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, INCLUDING THE RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND WAIVER OF RIGHTS. YOU HAD AN OPPORTUNITY TO ASK QUESTIONS BEFORE SIGNING/AGREEING.
